The following terms and conditions ("Agreement") constitute a legal agreement between you ("Artist") and MiATELIER (a subsidiary of MOST iNFLUENTIAL ART, LLC), a Denver, Colorado registered company ("Marketplace"). By using the Art Marketplace website ("Website"), you agree to be bound by this Agreement.

Membership
a. Artist agrees to become a member of the Art Marketplace by completing the registration process on the Website.

b. The Artist's membership will be subject to approval by the Marketplace. The Marketplace reserves the right to refuse or terminate Artist's membership at any time and for any reason.

c. Artist acknowledges that they are at least 18 years of age and that they are legally able to enter into this Agreement.

Artwork Submission and Sale
a. Artist agrees to submit original artwork for sale on the Marketplace, which is not in violation of any third-party rights, including intellectual property rights.

b. The Artist is solely responsible for setting the price of their artwork, and the Marketplace will not be liable for any disputes related to pricing.

c. The Marketplace will deduct a commission from the sale price of any artwork sold through the Website. The commission rate will be as agreed upon between the Artist and the Marketplace.

d. The Artist agrees to ship the artwork to the buyer within the timeframe specified in the listing.

e. The Marketplace will release payment to the Artist once the artwork has been shipped to the buyer.

Representations and Warranties
a. The Artist represents and warrants that they have the full right, power, and authority to enter into this Agreement and to grant the rights granted hereunder.

b. The Artist represents and warrants that their artwork is original and does not infringe upon any third-party rights, including intellectual property rights.

c. The Artist represents and warrants that they will comply with all applicable laws, regulations, and industry standards related to the sale and distribution of their artwork.

Indemnification
a. The Artist agrees to indemnify and hold harmless the Marketplace, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses arising out of or related to the Artist's breach of this Agreement or their artwork.

Termination
a. The Marketplace reserves the right to terminate the Artist's membership at any time and for any reason, including but not limited to the Artist's breach of this Agreement.

b. Upon termination, the Artist's access to the Website will be terminated, and the Marketplace will remove any artwork listings associated with the Artist.

Intellectual Property
a. The Artist grants the Marketplace a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute the Artist's artwork for the purpose of promoting the Marketplace and the Artist's artwork.

b. The Marketplace retains all rights in its name, logo, and trademarks.

Disclaimer of Warranties
a. The Marketplace makes no warranties or representations regarding the Website, including but not limited to the accuracy, completeness, reliability, or suitability of any information or content provided on the Website.

b. The Marketplace makes no warranty that the Website will be uninterrupted, error-free, or free from viruses or other harmful components.

Limitation of Liability
a. The Marketplace will not be liable for any damages arising out of or related to the Artist's use of the Website or the sale of their artwork through the Website.

b. The Marketplace's liability to the Artist will be limited to the commission paid by the Artist on the sale of their artwork.

Governing Law and Jurisdiction
a. This Agreement will be governed by and construed in accordance with the laws of the State/Country in which the Marketplace is registered.

b. Any dispute arising out of or relating to this Agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Modification
a. The Marketplace may modify this Agreement at any time by posting the modified terms on the Website. The Artist's continued use of the Website after such modifications will constitute the Artist's acceptance of the modified terms.

Entire Agreement
a. This Agreement constitutes the entire agreement between the Artist and the Marketplace and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

b. The failure of either party to enforce any provision of this Agreement will not be construed as a waiver of any provision or right.

c. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

By accepting these terms and conditions, the Artist acknowledges that they have read, understand, and agree to be bound by this Agreement.
